Annex A — Additional Terms for Motors Listings

These additional terms (the “Motors Terms“) govern the use of the Motors section of the GulfGrid Platform, which includes without limitation the following categories : Cars & Go Karting, Motorcycles, ATV & Off-road, Boats & Jet Skis, Parts & Equipment, Driver Gear, Sim Racing, Services (motorsport-related) and Events (motorsport-related).

These Motors Terms are in addition to, and supplement, the Platform Terms of Use. All capitalised terms used but not defined in these Motors Terms have the meaning given to them in the Platform Terms of Use. In case of any conflict or inconsistency between these Motors Terms and the Platform Terms of Use, the Platform Terms of Use will prevail (except to the extent that these Motors Terms specifically override them for the Motors section).

1. SCOPE

The Motors section of the Platform allows Sellers to advertise motorsport-related items, services and events for sale or promotion, and prospective Buyers to view information about them and contact the relevant Seller directly.

GulfGrid is not a party to any transaction between Sellers and Buyers. GulfGrid does not verify the veracity, accuracy or completeness of Motors Listings. GulfGrid does not inspect, test, appraise, insure, transport, register, or take custody of any vehicle, part, equipment, service or event promoted through a Listing.

2. SELLERS — GENERAL OBLIGATIONS

If you are a Seller, you acknowledge and agree that any item, service or event you advertise on the Motors section of the Platform must :

1. Be legally owned by you (or by the person on whose behalf you are creating the Listing, in which case you must be duly authorised to act on their behalf).
2. Be genuinely available for sale, rental, service or attendance (as applicable) at the time of publication of the Listing.
3. Be located, held or provided in the country in which you are located, unless the Listing clearly and prominently states otherwise.
4. Be accurately described in your Listing, including without limitation the following elements as applicable : make, model, year, mileage, condition, price, registration status, known defects, and any material history.

You must promptly update or remove your Listing when any of the above elements change, or when the item is no longer available.

3. REGISTRATION AND LEGAL STATUS OF VEHICLES

Because the Platform caters for a wide motorsport community — including collectors, track-day enthusiasts, restorers, importers and race teams — vehicles listed on the Motors section may not all be road-legal or currently registered for road use.

If you are a Seller of a vehicle, you must clearly and prominently indicate the registration status of that vehicle in your Listing, using one of the following categories (or an equivalent clear statement) :

• Road-legal : currently registered and permitted for use on public roads in the country of location.
• Track only : built or modified for closed-circuit use, not permitted on public roads.
• Project / restoration : requiring works before it can be used or registered, whether for road or track.
• Not currently registered : temporarily unregistered but eligible for registration; specify why.
• Imported / awaiting homologation : awaiting approval by local authorities; the Buyer will be responsible for completing the homologation and registration process.

Any Listing that fails to disclose the registration status of the vehicle may be removed by GulfGrid without notice and without refund.

GulfGrid makes no representation as to the roadworthiness of any vehicle listed on the Platform. It is the sole responsibility of the Buyer to verify, through independent inspection and appropriate professional advice, whether a vehicle is suitable for their intended use and whether it can be legally registered, insured, imported or exported.

4. PROOF AND VERIFICATION

GulfGrid may, at any time and at its sole discretion, request that you provide proof of ownership of the item, proof that the item is located in the country you reside in, proof of homologation, insurance, service history, or any other document reasonably required to verify the accuracy of your Listing.

If you do not provide such proof within the timeframe specified in our request (which will be reasonable in the circumstances), we may immediately remove the relevant Listing without further notice to you and without any refund of any fees paid.

5. BUYERS — DUE DILIGENCE

If you are a Buyer, you acknowledge and agree that :

• GulfGrid only provides the Platform enabling Sellers to advertise motorsport items, services and events. GulfGrid is not itself a dealer, broker, agent, escrow provider, transport company, inspection service or insurer.
• GulfGrid has no obligation to verify the veracity, accuracy or completeness of any Motors Listing, and you must conduct your own due diligence before making any purchase or entering into any agreement with a Seller.
• In particular, you should not rely solely on the contents of a Listing. You should physically inspect the item (or arrange for a professional to do so on your behalf), verify the identity of the Seller, verify the legal status and history of the vehicle (including outstanding finance, accident history and customs status where applicable), and obtain any appropriate professional advice (mechanical, legal, financial, insurance) before completing any transaction.
• Any financial transaction between you and the Seller (including deposits, escrow arrangements, transport and registration fees) takes place strictly between you and the Seller, without GulfGrid’s involvement or oversight.

6. IMPORTED VEHICLES

Where a vehicle is offered for sale in a jurisdiction other than the one in which the Seller is located, or where the vehicle has been imported into the country of the Seller, additional restrictions and obligations may apply, including without limitation customs duties, VAT, homologation requirements, technical inspection, and re-registration fees.

These additional costs and obligations are borne by the Buyer, unless the Seller has explicitly stated otherwise in writing. GulfGrid recommends that Buyers obtain a written statement from the Seller confirming the customs status of the vehicle and the estimated cost of local registration before agreeing to any transaction.

7. PARTS, EQUIPMENT, GEAR AND SIM RACING

Sellers of motorsport parts, equipment, driver gear and sim racing hardware/software must :

• Ensure that the products offered are original and not counterfeit;
• Comply with all applicable safety and homologation standards (for example FIA, DOT, ECE, SFI, Snell, where applicable to safety equipment such as helmets, HANS devices, seats, harnesses, roll cages);
• Clearly state whether the product is new, used, refurbished or “for parts / spares only”;
• Disclose any known defects, missing components or previous accident involvement (particularly for helmets and structural safety equipment);
• Not offer for sale any product whose sale is restricted by law (for example without a valid FIA homologation number where it is required for competition).

Any Listing that offers a counterfeit, unsafe or falsely-described product may be removed by GulfGrid without notice, and the Seller may be permanently banned from the Platform.

8. MOTORSPORT SERVICES

Sellers offering motorsport services (tuning, detailing, transport, storage, driver coaching, etc.) must :

• Hold any licence, permit or certification required by applicable law to provide such service;
• Accurately describe the scope, duration and price of the service;
• Not make any claim as to results, performance gains, or race outcomes that they cannot substantiate.

9. MOTORSPORT EVENTS

Sellers advertising motorsport events (track days, race meetings, meet-ups, launches) must :

• Hold all necessary authorisations from the competent authorities and venue operators;
• Accurately describe the event (date, location, format, ticket price, participation conditions, safety rules);
• Provide clear terms and conditions for participants, including cancellation and refund policies which are the sole responsibility of the event organiser (not of GulfGrid).

10. AGE AND SAFETY

Motorsport activities can be dangerous. By using the Motors section of the Platform :

• You confirm that you are at least eighteen (18) years old.
• You acknowledge that the participation in motorsport activities, the operation of high-performance vehicles, and the use of motorsport equipment carry inherent risks, including risk of injury or death.
• You accept full responsibility for your own safety and for the safety of any third-parties you allow to use any item purchased through the Platform.
• GulfGrid has no liability whatsoever in relation to any injury, death, damage or loss arising out of the use of any vehicle, part, equipment, service or event advertised on the Platform, save to the extent that such liability cannot lawfully be excluded.
